Terms of Service

These Terms of Service (the "Terms") govern the conditions on which Miki Matsushima (the "Operator") provides the inbound experience-booking platform "NOREN" (URL: noren-trip.com, the "Service"), and define the rights and obligations between the Operator and users. Any person who uses the Service is deemed to have agreed to these Terms.
Article 1 (Scope of Application)
- These Terms apply to all services provided by the Operator through the Service.
- In addition to these Terms, any individual provisions, guidelines, or notices separately posted on the Service (collectively, "Individual Provisions") form part of these Terms. In the event of any conflict between these Terms and an Individual Provision, the Individual Provision shall prevail.
Article 2 (Definitions)
In these Terms, the following terms have the meanings set out below.
- "Service" means the inbound experience-booking platform "NOREN" operated by the Operator.
- "User" means any individual or legal entity who uses the Service.
- "Host" means any business or individual that provides an experience through the Service.
- "Organizer" means the party legally responsible for planning and conducting an experience. Where the Host operates the experience as a sole proprietor or legal entity, the Organizer is that Host. Where the experience qualifies as a planned tour under the Travel Agency Act (募集型企画旅行 or 受注型企画旅行), the Organizer is the licensed travel-business entity providing the planned tour.
- "Experience" means any cultural experience, tour, workshop, or other service provided by an Organizer through the Service.
- "Booking" means a User's application, made through the Service, to participate in an Experience.
Article 3 (Scope of the Service)

The Service is a booking platform that connects Users with Organizers and Hosts. The Operator provides the following functions:
- Display and announcement of Experience information
- Provision of a booking-intake system
- Payment processing (through a contracted payment service provider)
- Multilingual communication support
- First-line response to inquiries from Users and Hosts

The Operator is not a travel agent. The Operator has not registered as a travel-business operator under the Travel Agency Act and is not in a position to plan, solicit, or sell travel itineraries on its own. Where an Experience offered through the Service constitutes a planned tour under the Travel Agency Act, a licensed travel-business entity acts as the Organizer and is responsible for planning and executing the tour; the Operator merely intermediates bookings for that Organizer through the platform.

The Operator is not the provider of the Experiences. The actual delivery and operation of each Experience is the responsibility of the relevant Organizer or Host. The Operator is not a party to the individual Experience contract formed between the User and the Organizer or Host.
Article 4 (User Registration)
- Users must complete registration in the manner prescribed by the Operator to use the Service's booking functions.
- Applicants are responsible for providing accurate and current information at the time of registration.
- The Operator may refuse registration if the applicant falls under any of the following:
- The application contains false statements, errors, or omissions
- The applicant has previously violated these Terms
- The applicant is determined by the Operator to be an organized-crime element
- The Operator otherwise determines that registration is inappropriate
Article 5 (Bookings and Contractual Relationships)
- Users may submit a Booking application for any Experience listed on the Service by an Organizer or Host.
- The contract for the Experience is concluded between the User and the Organizer. The Operator is not a party to that contract and merely provides the platform that handles booking intake and payment.
- The timing of contract formation, contract terms, eligibility requirements, and other conditions are governed by the conditions stated on each Experience page.
- Operational details such as the meeting point, dismissal location, and duration of each Experience are as stated on the relevant Experience page.
- The Operator reserves the final authority to approve or refuse Bookings.
Article 6 (Fees and Payment)
- The fee for each Experience is as stated on its Experience page.
- Upon conclusion of a Booking, the User shall pay the full fee through the payment method designated by the Operator.
- Payments are processed through a payment service provider contracted by the Operator.
- Listed prices include consumption tax and any platform service fees, unless otherwise noted. Any special transportation costs or additional charges that arise will be clearly stated on the relevant Experience page.
Article 7 (Cancellation, Changes, and Refunds)
7-1. Per-Experience Cancellation Policy
- Cancellations and changes are governed by the individual cancellation policy set for each Experience. Before submitting a Booking, Users must review the cancellation policy of the target Experience.
- Each Experience's cancellation policy is shown on the booking screen of that Experience page and in the booking confirmation email. By completing a Booking, the User is deemed to have agreed to that Experience's cancellation policy.
- Each Experience's cancellation policy is set at the discretion of the Host or Organizer. Even within the same category, terms may differ between Hosts or Organizers.
7-2. Standard Template (for reference)
NOREN provides the following standard template for setting per-Experience cancellation policies. Many Experiences follow this template; some may set different terms depending on the nature of the Experience.

The above is a reference depiction of the standard template; the actual applicable terms are those stated on each Experience page. Some Experiences (high-fee tours with earlier deadlines, Experiences with material preparation costs that justify earlier charge thresholds, etc.) may set different cancellation terms.
7-3. Cancellations by the Host or Organizer
If an Experience is cancelled or modified at the discretion of the Host or Organizer, the Operator will promptly notify the User and, as a general rule, refund the full paid amount. Where a reschedule or alternative plan is feasible, arrangements will be made with the User's consent.
7-4. Force Majeure (Weather, Natural Disaster, etc.)
- If an Experience cannot be conducted due to weather, natural disaster, significant transportation disruption, an outbreak of infectious disease, or other force majeure, the handling follows the individual terms stated on each Experience page.
- Force-majeure response policies (full refund / reschedule / partial refund, etc.) vary by Host or Organizer and are set according to the nature of the Experience (outdoor / indoor, equipment dependency, preparation costs, etc.).
- Users should review the force-majeure handling on each Experience page before submitting a Booking.
7-5. Refund Method
- Refunds are issued, as a general rule, to the payment method used at the time of payment (credit card, etc.).
- Payment service provider fees, foreign-exchange differences, and remittance fees may be deducted from refunds.
- Refund completion may take time due to the processing periods of the payment service provider and the card issuer (typically 2 weeks to 2 months).
7-6. Handling of Changes
Post-booking changes to date, number of participants, etc. are governed by the cancellation policy of the relevant Experience. Depending on availability and Host acceptance, some changes may not be possible, in which case the prescribed cancellation fee may apply.
Article 8 (Position of Organizers and Hosts)
- Organizers and Hosts shall plan and conduct the Experiences they offer through the Service at their own responsibility and discretion.
- Where an Experience requires permits, licenses, or notifications under the Travel Agency Act, Food Sanitation Act, Hot Spring Act, or other applicable law, the Organizer or Host is solely responsible for obtaining and complying with the required permits, licenses, and notifications.
- The Operator performs reasonable preliminary checks on the content, quality, and safety of the Experiences offered by Organizers and Hosts but does not guarantee their completeness.
Article 9 (User Obligations)
When using the Service, Users shall comply with the following:
- Comply with applicable laws and these Terms
- Comply with participation conditions and instructions set by the Organizer or Host
- Wear suitable clothing, bring appropriate equipment, and maintain the physical condition needed to participate
- Not cause inconvenience to other Users, Organizers, Hosts, the Operator, or third parties
- Show respect for the local culture, religion, and customs
Article 10 (Prohibited Conduct)
When using the Service, Users shall not:
- Engage in conduct that violates laws or public order
- Engage in conduct related to criminal activity
- Infringe on the rights of the Operator, Organizers, Hosts, other Users, or third parties
- Register false information
- Impersonate Organizers, Hosts, or other Users
- Resell participation rights for an Experience
- Use photographs or videos of Experiences for commercial purposes without permission
- Interfere with the operation of the Service
- Engage in unauthorized access or other system attacks
- Provide any benefit to or cooperate with organized-crime elements
- Engage in any other conduct that the Operator deems inappropriate
Article 11 (Operator's Scope of Liability)
- The Operator provides the Service as a platform and does not warrant the content, quality, or safety of the Experiences provided by Organizers or Hosts.
- Accidents, damage, or disputes that arise during an Experience shall, in principle, be resolved between the Organizer or Host and the User. The Operator will cooperate by sharing information and coordinating communication in good faith.
- Except in cases of intentional misconduct or gross negligence by the Operator, the Operator's liability to a User or third party is limited to the most recent single Experience fee that the User paid through the Operator.
- The Operator is not liable for damages arising from failures or incidents at payment service providers, hosting providers, or other subcontractors (except where the Operator was grossly negligent in selecting that subcontractor).
Article 12 (Disclaimers)
- The Operator makes no warranties as to the content, quality, accuracy, completeness, usefulness, safety, lawfulness, or fitness for any particular purpose of the Service.
- The Operator does not warrant that the Service is free from any de facto or legal defect.
- The Operator is not a party to, and in principle assumes no responsibility for, disputes between Users and Organizers or Hosts, or between Users themselves. The Operator will, however, cooperate to a reasonable extent by sharing information to support amicable resolution.
Article 13 (Intellectual Property)
- All intellectual property rights in the systems, designs, logos, text, images, and other content that make up the Service belong to the Operator or to the relevant third-party rightsholders.
- Users shall not reproduce, redistribute, modify, distribute, or sell content from the Service without prior written permission from the Operator.
- The Operator may use photographs, reviews, and other content submitted by Users on the Service on a royalty-free, non-exclusive basis for the operation and promotion of the Service (with respect for the moral rights of the submitter).
Article 14 (Handling of Personal Information)
The handling of Users' personal information is governed by the separately published Privacy Policy.
Article 15 (Suspension and Termination of Use)
The Operator may, without prior notice, suspend a User's use of the Service, terminate the User's registration, or take other necessary measures if the User falls under any of the following:
- The User has violated any provision of these Terms
- False statements in the registration information have come to light
- The User has failed to pay fees or other amounts due
- The User has failed to respond to communications from the Operator for a certain period
- The Operator otherwise determines that the User's use of the Service is inappropriate
Article 16 (Amendment of these Terms)
- The Operator may amend these Terms, without prior notice to Users, when it deems necessary.
- Amended Terms take effect from the moment they are posted on the Service.
- The Operator will notify Users of material changes on the Service or by email.
Article 17 (Notices and Communications)
- Notices and communications between Users and the Operator shall be made in the manner prescribed by the Operator.
- When the Operator sends a notice to the email address in a User's registration information, the notice is deemed to have been delivered at the time it would normally be delivered.
Article 18 (Assignment of Rights and Obligations)
Users shall not, without the Operator's prior written consent, assign, lend, or pledge as security their status under these Terms or any rights or obligations under these Terms.
Article 19 (Severability)
Even if any provision (or any part of a provision) of these Terms is held invalid or unenforceable under applicable law, the remaining provisions of these Terms, and the remaining parts of that provision, shall continue in full effect.
Article 20 (Governing Law and Jurisdiction)
- These Terms are governed by the laws of Japan.
- Any dispute between the Operator and a User arising in connection with the Service shall be subject to the exclusive jurisdiction of the Fukuoka District Court as the court of first instance.
